**Trovekrt Partner App**

## 1. Introduction

Welcome to the Trovekrt Partner App. These Terms and Conditions ("Terms") govern your access to and use of the Trovekrt Partner mobile application and related services ("Partner App"), operated by Nirixir Ventures Private Limited ("Trovekrt", "we", "us", "our").

Trovekrt is a multi-service digital platform that facilitates e-commerce, e-pharmacy, food delivery, grocery shopping, and ride-booking services. The Partner App is used by two types of partners:

- **Sellers:** stores, restaurants, pharmacies, grocery retailers, and other businesses that list and sell products or services on Trovekrt.

- **Delivery Partners:** individuals who pick up and deliver orders, or provide ride services, through Trovekrt.

By registering for or using the Partner App, you agree to these Terms. If you do not agree, please do not use the Partner App.

## 2. Eligibility and Partner Accounts

- You must be at least 18 years old and legally able to enter into a binding agreement under Indian law.

- Sellers must hold all licences, registrations, and approvals required to operate their business, such as GST registration, FSSAI licence for food businesses, and a valid drug licence for pharmacies.

- Delivery Partners must hold a valid government ID and, where applicable, a valid driving licence, vehicle registration, insurance, and any other documents required by law.

- You must provide accurate, current, and complete information during registration and keep it updated.

- Your account may be activated only after Trovekrt verifies your documents. We may approve, reject, or request additional information at our discretion, subject to applicable law.

- You are responsible for keeping your login credentials confidential and for all activity carried out through your account. Do not share your account with anyone else.

- Notify us promptly at support@trovekrt.com if you suspect unauthorised access to your account.

## 3. Services Available to Partners

Through the Partner App, partners may, depending on their role and approval:

1. **Sellers:** manage their profile and store details, add and update products, prices, stock, and offers, receive and manage orders, update order status, track earnings and payouts, and respond to customer ratings and reviews.

2. **Delivery Partners:** receive delivery or ride requests, accept or decline them, navigate to pickup and drop locations, update order or trip status, and view earnings and payouts.

Features may vary by location, category, and partner type, and may change from time to time.

## 4. Seller Terms

### 4.1 Product Listings

- You are responsible for the accuracy of all product information you upload, including names, descriptions, images, prices, quantities, tax details, and expiry dates.

- You must keep stock and availability updated to avoid cancellations.

- You must not list prohibited, counterfeit, expired, unsafe, or illegal products.

### 4.2 Orders

- You should confirm or reject incoming orders promptly. Repeated delays, rejections, or cancellations may affect your visibility or account standing.

- You must prepare and pack orders accurately, hygienically, and within the stated time.

- Products must match the listing and be safe, unexpired, and in good condition.

### 4.3 e-Pharmacy Sellers

- Only pharmacies with valid licences may sell medicines through Trovekrt.

- Prescription medicines may be supplied only against a valid prescription and in compliance with applicable Indian pharmaceutical, drug-control, and consumer-protection laws.

- Medicines must be stored, packed, and dispatched in line with legal and safety requirements.

### 4.4 Food and Grocery Sellers

- Food businesses must comply with FSSAI and other applicable food safety laws.

- Perishable items must be fresh, properly stored, and hygienically packed.

- Allergen, ingredient, and vegetarian or non-vegetarian information must be accurate.

### 4.5 Returns, Replacements and Refunds

Customer returns, replacements, cancellations, and refunds are handled according to Trovekrt's published policies and applicable consumer law. Where a refund or replacement is due to your error, such as a wrong, missing, damaged, or expired item, the cost may be deducted from your payouts.

## 5. Delivery Partner Terms

- You act as an independent service provider and not as an employee of Trovekrt, unless a separate written agreement states otherwise.

- You must follow all traffic, transport, and safety laws, and you are responsible for your vehicle, fuel, insurance, and permits.

- You must not deliver or provide rides while under the influence of alcohol or drugs.

- Pick up and deliver orders promptly and with care. Do not open, tamper with, or consume any order.

- Handle cash on delivery responsibly and deposit it as per Trovekrt's process. Failure to do so may result in recovery of the amount and suspension.

- Treat customers, sellers, and support staff with respect.

- For ride services, you must pick up and drop passengers at the agreed locations and must not refuse, cancel, or alter rides for unlawful or discriminatory reasons.

- Report accidents, safety incidents, or suspected unlawful activity immediately through the designated support channel.

- Your live location is used while you are online or on an active order. See Section 11.

## 6. Pricing, Commission, Payouts and Taxes

- Trovekrt may charge commission, platform fees, service charges, or other fees on completed transactions. These will be communicated to you in the Partner App or in your partner agreement.

- Earnings are calculated on completed and valid orders, deliveries, or rides, after deduction of applicable commission, fees, adjustments, and taxes.

- Payouts are made to your registered bank account or other approved method in line with the payout cycle shown in the app. Payout timing may depend on banks and payment providers.

- Trovekrt may withhold or adjust payouts in cases of suspected fraud, unresolved disputes, customer refunds attributable to you, penalties, or legal requirements.

- You are responsible for your own taxes, including GST and income tax, and for issuing any invoices required by law. Trovekrt may deduct TDS or TCS where required.

- You must keep your bank and tax details accurate. Trovekrt is not responsible for payouts sent to incorrect details provided by you.

## 7. Cancellations, Penalties and Quality

- Cancelling accepted orders or rides without a valid reason, delivering late, or delivering incorrect items may lead to warnings, penalties, reduced visibility, or suspension.

- Any penalty will be communicated through the Partner App or your partner agreement and will be applied in accordance with applicable law.

- Customer ratings and reviews may be used to assess service quality.

## 8. Partner Conduct

You agree not to:

- Use the Partner App for unlawful, fraudulent, or deceptive purposes.

- Submit false documents, fake orders, fake deliveries, or fraudulent claims.

- Manipulate prices, ratings, reviews, or promotions.

- Interfere with the security, systems, or operation of the platform, or attempt unauthorised access.

- Upload malicious software or harmful content.

- Harass, threaten, discriminate against, or abuse customers, other partners, or Trovekrt staff.

- Share or misuse customer data, such as contact details and addresses, for any purpose other than fulfilling the order.

- Violate intellectual property rights or any applicable law.

Trovekrt may investigate suspected violations and take proportionate action in accordance with applicable law.

## 9. Third-Party Services

The Partner App relies on third-party services such as payment gateways, mapping and location services, notification services, and authentication providers. These services may be subject to their own terms and policies. Trovekrt is not responsible for disruptions or errors caused by third-party providers, to the extent permitted by law.

## 10. Intellectual Property

The Trovekrt name, logo, app design, software, and platform content are owned by or licensed to Trovekrt or its rights holders. You are granted a limited, non-exclusive, non-transferable right to use the Partner App for its intended business purpose. You may not copy, modify, distribute, reverse engineer, or commercially exploit any protected material, except where permitted by law.

By uploading content such as product images, descriptions, logos, and store details, you confirm that you own or have the right to use it. You grant Trovekrt a non-exclusive licence to display and use that content on the platform for the purpose of operating and promoting the services.

## 11. Privacy, Permissions and Data

Your use of the Partner App is governed by our Privacy Policy, which explains how personal information is collected, used, stored, and shared.

The Partner App may request the following permissions, depending on your role and the features you use:

- **Location:** to show nearby orders, enable navigation, and track deliveries and rides.

- **Camera and photos:** to upload product images, profile pictures, and verification documents.

- **Notifications:** to alert you about new orders, status changes, and payouts.

- **Phone and contacts details:** to allow customers, sellers, and partners to contact one another about an active order.

Customer information shown to you is to be used only to fulfil the relevant order and must be kept confidential.

## 12. Account Deletion

You may request deletion of your account through the Partner App settings or by contacting support@trovekrt.com. Deletion may be delayed until pending orders, payouts, disputes, and legal obligations are settled. Certain data may be retained as required by law.

## 13. Service Availability and Disclaimers

We aim to keep the Partner App reliable, but we do not guarantee uninterrupted or error-free access. Services may be unavailable due to maintenance, network issues, third-party failures, or circumstances beyond our reasonable control.

We do not guarantee a minimum number of orders, deliveries, rides, or earnings. To the extent permitted by law, Trovekrt disclaims warranties that are not expressly stated or legally required.

## 14. Limitation of Liability

To the extent permitted by applicable law, Trovekrt will not be liable for indirect or consequential losses, loss of profit or business, or losses arising from circumstances beyond its reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud or wilful misconduct.

## 15. Indemnity

To the extent permitted by applicable law, you agree to be responsible for losses, claims, and reasonable costs arising from your unlawful conduct, fraud, breach of these Terms, sale of prohibited or unsafe products, violation of licences or regulations, or negligence in carrying out an order or ride.

This does not require you to indemnify Trovekrt for losses caused by Trovekrt's own unlawful conduct.

## 16. Suspension and Termination

Trovekrt may suspend, restrict, or terminate your access where reasonably necessary, including for fraud, security threats, unlawful activity, repeated quality or safety issues, expired or invalid documents, or material violation of these Terms, subject to applicable law.

You may stop using the Partner App at any time. Pending payouts, deductions, obligations, and provisions intended to survive termination will continue to apply.

## 17. Changes to These Terms

We may update these Terms to reflect changes in our services, business practices, or legal requirements. The updated Terms will be published in the Partner App with a revised effective date. Continued use of the Partner App after the update means you accept the revised Terms. Where required by law, we will give notice or ask for your consent.

## 18. Governing Law and Disputes

These Terms are governed by the laws of India. Disputes will be addressed through the appropriate legal mechanisms and competent courts or forums under applicable law. Nothing in this section limits any rights that cannot legally be excluded.
